These Terms of Use (these “Terms”) govern your access to and use of the Blackletter website (the “Site”). In these Terms, “we,” “us,” and “our” refer to Clara Legal, LLP and Clara Legal Professional Corporation (together, the “Law Firms”), which conduct business under the assumed name Blackletter. By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not access or use the Site.
1. No Legal Advice
The content on the Site is provided for general informational purposes only and does not constitute legal advice. Transmission of, or access to, information on the Site does not create an attorney-client (or solicitor-client) relationship. You should not act or rely upon any information on the Site without first seeking the advice of qualified legal counsel licensed in the relevant jurisdiction. We expressly disclaim all liability for actions taken or not taken in reliance on the content of the Site.
2. No Attorney-Client Relationship
An attorney-client (or solicitor-client) relationship is formed only upon the execution of a written engagement letter. Contacting us through the Site, by email, or by any other means does not create an attorney-client relationship. Unsolicited information that you send to us will not be treated as confidential and will not create an attorney-client relationship unless and until a formal engagement has been established. Until such time, we reserve the right to represent parties whose interests are adverse to yours.
3. Engagement Letters
If you become a client of the Law Firms, your representation will be governed by a separate written engagement letter. In the event of any conflict between these Terms and your engagement letter, the engagement letter will control with respect to the legal services it covers.
4. Confidentiality Notice
Please do not transmit confidential or sensitive information to us through the Site or by email until you have spoken with one of our lawyers and received express authorization to do so. Information transmitted over the internet may not be secure.
5. Firm Name; Entities; Relationship with Service Companies
“Blackletter” is an assumed name (d/b/a) under which the Law Firms conduct business.
Legal services in the United States are provided by Clara Legal, LLP, and in Canada by Clara Legal Professional Corporation. These are separate legal entities; each is responsible only for its own acts and omissions, provides legal services only in the jurisdictions in which its lawyers are admitted, and nothing on the Site constitutes an offer to provide legal services where the relevant entity or its lawyers are not authorized to practice.
The Law Firms are supported by service companies that provide technology and administrative services. These companies are not law firms, do not provide legal advice, and are not responsible for the legal services provided by the Law Firms. All legal services are provided solely by the Law Firms’ licensed attorneys, who exercise independent professional judgment.
6. Attorney Advertising
The Site constitutes attorney advertising and is subject to the attorney-advertising and legal-marketing rules of the jurisdictions in which our lawyers are admitted. Prior results do not guarantee a similar outcome. Results depend upon the specific facts and circumstances of each matter.
7. Intellectual Property
The content, design, and materials on the Site are protected by copyright, trademark, and other intellectual property laws. The “Blackletter” name and associated logos are trademarks owned by a service company and used by the Law Firms under license. No content on the Site, and none of these trademarks, may be reproduced, distributed, or otherwise used without express written permission.
8. No Warranties
The Site and its content are provided “as is” and “as available,” without warranty of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We make no representations or warranties regarding the accuracy, completeness, or timeliness of any information on the Site.
9. Third-Party Links
The Site may contain links to third-party websites or resources. We provide these links for convenience only and do not control, endorse, or assume responsibility for the content, products, services, or practices of any third-party site. Your access to and use of any linked site is at your own risk and is subject to the terms and policies of that site.
10. Privacy
Your use of the Site is also subject to our Privacy Policy, which describes how we collect, use, and protect personal information in accordance with applicable privacy laws.
11. Changes to These Terms
We may revise these Terms from time to time. Any changes will be effective upon posting to the Site, and the “last updated” date above will be revised accordingly. Your continued use of the Site following the posting of any changes constitutes your acceptance of those changes.
12. Governing Law; Jurisdiction
These Terms, and any dispute arising out of or relating to these Terms or your use of the Site, shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict-of-laws principles. To the extent permitted by applicable law, you agree to submit to the non-exclusive jurisdiction of the state and federal courts located in New York County, New York for the resolution of any such dispute. If you access the Site from outside the United States, you are responsible for compliance with all applicable local laws.
13. Severability
If any provision of these Terms is held to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
